Acceptance & B2B Commercial Eligibility
By accessing this platform, creating a wholesale account, viewing trade discount prices, or placing purchase orders (via web portal or mobile application), you confirm and warrant that:
- You represent a legally registered commercial business operating in beauty, aesthetics, wellness, healthcare, or hospitality.
- You are at least 18 years of age and authorized to execute commercial procurement contracts under the Indian Contract Act, 1872.
- All registration details (trade name, delivery address, WhatsApp contact, and optional GSTIN) provided are accurate and authentic.
Wholesale Trade Pricing & GST Invoicing
Our direct manufacturing and bulk procurement structure guarantees direct wholesale prices without middlemen markups:
- Trade Rates: Catalog prices reflect wholesale rates. Applicable Goods and Services Tax (GST) is calculated transparently during digital checkout.
- Input Tax Credit (ITC): Registered partners providing their 15-digit GSTIN will receive a tax-compliant GST e-invoice with every consignment to claim 100% statutory input tax credit.
- Minimum Order Quantities (MOQ): To maintain factory trade tiers, certain disposable lines (bedsheets, waxing rolls, robes, headbands) require minimum carton packs or Minimum Order Values (MOV).
Orders, Shipping & Risk of Loss
Consignments are dispatched pan-India through verified logistics carriers (Shiprocket, Delhivery, BlueDart, DTDC Surface):
- Free Freight Threshold: Orders reaching our active promotional subtotal threshold qualify for 100% free delivery. Orders below the threshold incur nominal weight-based cargo charges.
- Dispatch Timelines: In-stock wholesale orders dispatch within 24–48 business hours from our central warehouse. Delivery estimates span 2–6 business days depending on geographical location.
- Transit Risk: Responsibility transfers to the buyer upon recorded delivery signature at the specified commercial address.
Cancellation, Return & Refund Policy
4.1 Sanitary & Sterile Disposables Rule
Due to strict medical hygiene and cosmetic safety regulations, disposable sanitary consumables (disposable panties, bras, bedsheets, face masks, waxing strips, and liquid formulations) cannot be returned once their outer protective hygiene seal has been opened.
4.2 Transit Damage & Shortage Claim Procedure
Step 1: Inspect the shipment upon delivery. If the outer carton is noticeably punctured or tampered with, note it on the courier delivery run sheet.
Step 2: Capture 2–3 clear photographs or a short video showing the damaged items, outer carton, and the shipping label.

4.3 Resolution & Refund Processing

4.4 Order Cancellation Prior to Dispatch
Wholesale orders can be cancelled free of charge at any time before our warehouse generates the dispatch docket and books the logistics courier.
Coupons, Promotional Codes & Discount Policy
To reward ongoing partnerships with salons, dermatologists, and franchise spas, Sparva issues promotional codes through our platform, catalog, and WhatsApp channels. By using any coupon code, you agree to the following terms:
- Single Coupon Rule: Only one (1) promotional discount code may be applied per transaction. Stacking of multiple coupons is strictly disallowed unless explicitly stated.
- Minimum Order Value (MOV): Vouchers require a minimum cart subtotal (e.g. ₹2,500 or ₹5,000). If items are removed bringing the subtotal below the MOV, the discount automatically detaches.
- Clearance & Bulk Exclusions: Certain factory-clearance cartons, volume institutional pallets, or custom-printed OEM batches are classified as coupon-exempt due to existing razor-thin manufacturing margins.
- No Cash Value: Promotional credits and coupon values cannot be exchanged for cash, credited to bank accounts, or transferred between distinct business profiles.
- Fair Use & Revocation: Sparva reserves the right to modify or revoke promotional vouchers in cases of technical glitches, multi-account exploitation, or bot automation.
Copyright, Trademark & AI-Generated Content Notice
All materials published on the Sparva domain, catalog, and applications—including brand name, lotus/leaf emblem, typography, visual layouts, written guides, and 3D product previews—constitute proprietary intellectual property.
6.1 Artificial Intelligence (AI) Generated Product Content & Visuals
Illustrative & Demonstration Purpose: Sparva utilizes Artificial Intelligence (AI) models, computational rendering, and digital 3D visualization to generate product photos, packaging illustrations, model demonstrations, and salon/spa lifestyle treatment scenes.
Specifications vs. Digital Previews: While we ensure high visual accuracy, AI-assisted visuals serve an illustrative representation purpose. Actual physical manufactured products (fabric draping, dye pigmentation, and carton print shades) may have minor industrial manufacturing variations. All orders are governed strictly by the exact written technical specifications (GSM thickness, dimensions, count, sterile grade) stated on each product page.
Proprietary Ownership & Anti-Theft: All AI-generated product media, rendered images, infographics, and written copy produced by or for Sparva are proprietary intellectual property. No buyer, distributor, competitor, or third party has any license to copy, download, scrape, or publish Sparva's AI-generated product images on third-party commercial storefronts or competitor platforms.
6.2 Strict Prohibition on Unauthorized Marketplace Reselling
Wholesale buyers acquire Sparva products exclusively for internal consumption within their clinics, spas, and salons, or for authorized distribution. Listing Sparva branded products on public retail marketplaces (Amazon India, Flipkart, Meesho, JioMart, etc.) without an official Brand Authorization Certificate is strictly prohibited. Infringement will trigger immediate account suspension and trademark enforcement.
Sanitary & Product Storage Guidelines
Sparva manufactured disposables are produced in hygienic environments adhering to high GSM non-woven standards, hypoallergenic material selection, and clean packaging. Commercial buyers are responsible for proper dry, pest-free storage of carton inventory away from direct sunlight, dampness, or open flame.
Platform Conduct & Account Termination
We enforce strict conduct standards. Sparva reserves the unilateral right to suspend or terminate business accounts that engage in:
- Payment chargeback fraud, fabricated damage claims, or abusive conduct toward customer support or logistics drivers.
- Automated catalog scraping, pricing scrapers, bot attacks, or unauthorized API access.
- Submitting fake GSTIN registrations or fraudulent business entities.
Limitation of Liability & Jurisdiction
Sparva's aggregate liability for any claim arising from order fulfillment, product performance, or platform usage shall be strictly limited to the actual net monetary amount paid by the buyer for the specific purchase order in question.
Governing Law: These Terms and all commercial transactions shall be governed by and interpreted in accordance with the substantive laws of India. Any legal dispute, arbitration, or proceeding shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
